Terms of Service
These Terms of Service ("Terms") govern access to and use of the website at margynx.com and the Agentix Seller Cockpit service, including related dashboards, analytics, recommendations, automations, workflows, integrations, documentation, and support services (collectively, the "Service") provided by Margynx ("Margynx," "we," "us," or "our").
By accessing or using the Service, creating an account, connecting an Amazon Seller account, or clicking to accept these Terms, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" means that organization.
1. The Service
Agentix Seller Cockpit is a software service for Amazon seller analytics, monitoring, operational decision support, and pricing or repricing-related workflows. The Service may provide dashboards, alerts, explanations, recommendations, suggested actions, and, where enabled by you, workflows that assist with operational actions such as pricing-related changes.
The Service depends on seller authorization, Amazon systems, marketplace data, customer configuration, third-party systems, network availability, and other factors outside Margynx's control. Margynx does not control Amazon, Amazon marketplace rules, Buy Box eligibility, marketplace competition, buyer demand, advertising systems, inventory availability, fulfillment performance, tax treatment, or any other third-party platform behavior.
2. Eligibility and account registration
- You must provide accurate account and business information and keep it reasonably current.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, except to the extent caused by Margynx's breach of these Terms.
- You must promptly notify Margynx at support@margynx.com if you suspect unauthorized access to your account.
- You may not share accounts, circumvent access controls, or allow unauthorized users to access the Service.
3. Amazon authorization and marketplace compliance
The Service may require you to authorize access to your Amazon Seller account through Amazon's authorization workflow. You authorize Margynx to access, process, and use seller-authorized Amazon data only as needed to provide, secure, support, and improve the Service, as described in our Privacy Policy and any applicable Amazon authorization screens.
- You remain responsible for your Amazon Seller account, listings, prices, inventory, advertising, fulfillment, taxes, marketplace compliance, and business decisions.
- You represent that you have the right to authorize access to the Amazon Seller account and related data connected to the Service.
- You are responsible for complying with Amazon policies, marketplace rules, applicable laws, and your own contractual obligations.
- You may revoke Amazon authorization through Amazon's controls. Revocation may disable some or all Service functionality.
- Margynx is an independent service provider and is not endorsed by, owned by, or affiliated with Amazon. Amazon is a trademark of Amazon.com, Inc. or its affiliates.
4. Pricing, repricing, automation, and customer responsibility
The Service may provide pricing analytics, repricing-related recommendations, price-change workflows, or automation tools. You are solely responsible for deciding whether and how to use any pricing-related feature.
- You are responsible for reviewing recommendations, configuring pricing rules, minimum prices, maximum prices, margin thresholds, exclusions, budgets, approval settings, and other business controls.
- You are responsible for verifying that any price, promotion, listing, inventory, advertising, or other action is accurate, lawful, commercially appropriate, and compliant with Amazon policies before enabling, approving, or relying on it.
- You acknowledge that marketplace conditions can change quickly and that any recommendation, forecast, alert, or automated action may be delayed, incomplete, inaccurate, stale, or affected by third-party data availability.
- Margynx does not guarantee any Buy Box outcome, ranking, sales volume, revenue, profit, margin, conversion rate, inventory outcome, advertising result, or other business result.
- Margynx is not responsible for losses resulting from your pricing configuration, approval decisions, automation settings, business rules, marketplace changes, Amazon system behavior, third-party data errors, or use of the Service outside its documentation or intended purpose.
You should monitor the Service and your Amazon Seller account regularly. The Service is not a substitute for human oversight, professional judgment, or your own operational controls.
5. AI-generated and analytical outputs
The Service may use analytical models, rules, machine learning, or artificial intelligence to generate summaries, explanations, recommendations, forecasts, classifications, risk indicators, or suggested actions ("Outputs"). Outputs are provided for decision support only.
- Outputs may be inaccurate, incomplete, delayed, or not suitable for your specific business circumstances.
- You are responsible for independently reviewing and validating Outputs before relying on them.
- Outputs do not constitute legal, tax, accounting, financial, investment, employment, compliance, or professional advice.
- Margynx does not guarantee that Outputs will identify every issue, cause, risk, opportunity, error, or compliance concern.
6. Customer data
"Customer Data" means information, content, configurations, credentials, authorization tokens, seller-authorized Amazon data, business inputs, and other materials that you provide to or authorize Margynx to access through the Service.
- You retain ownership of Customer Data.
- You grant Margynx a limited right to process Customer Data to provide, secure, support, maintain, troubleshoot, and improve the Service; comply with law; enforce these Terms; and protect the Service and its users.
- You represent that you have all rights and permissions necessary to provide Customer Data and authorize Margynx to process it as described in these Terms and the Privacy Policy.
- You are responsible for the accuracy, quality, legality, and completeness of Customer Data.
7. Acceptable use
You may not, and may not allow any third party to:
- use the Service in violation of applicable law, Amazon policies, marketplace rules, or third-party rights;
- use the Service to engage in fraud, abuse, deceptive practices, spam, unauthorized scraping, unlawful price manipulation, or other harmful conduct;
- interfere with, disrupt, overload, or compromise the Service or its security controls;
- attempt to gain unauthorized access to the Service, other accounts, systems, data, or networks;
- introduce malware, harmful code, or vulnerability testing without written authorization;
- reverse engineer, decompile, copy, or attempt to derive source code, models, algorithms, or non-public functionality except to the extent such restriction is prohibited by law;
- use the Service to build or benchmark a competing product using non-public Service materials;
- remove proprietary notices or misrepresent the source of the Service; or
- resell, sublicense, or provide access to the Service unless authorized in writing by Margynx.
8. Fees, trials, and billing
Some features may be offered as free, trial, design partner, beta, evaluation, or paid features. Paid plans, subscription periods, billing terms, renewal terms, usage limits, cancellation rights, and other commercial terms will be provided at checkout, in an order form, or in a separate written agreement.
Where Margynx grants access to the Service at no charge, including under a design partner, trial, or free-tier arrangement, such access is provided at Margynx's discretion and may be modified, limited, or discontinued at any time without obligation, subject to reasonable notice where practicable.
Unless otherwise stated in an applicable order form or required by law, fees are non-refundable. You are responsible for applicable taxes, except taxes based on Margynx's income. Margynx may suspend or limit paid features for non-payment.
9. Early access, preview, and experimental features
Margynx may offer certain features or capabilities on an early access, preview, experimental, or limited-availability basis ("Early Access Features"). Early Access Features are distinct from the generally available Service and may be incomplete, subject to change, or discontinued at any time. Margynx will identify Early Access Features as such where reasonably practicable.
Early Access Features are provided for evaluation and feedback purposes. You should evaluate whether an Early Access Feature is appropriate for your use case before relying on it for operational workflows. Early Access Features are not subject to the same support commitments or service level expectations as generally available Service features.
10. Third-party services and integrations
The Service may interoperate with third-party services, including Amazon systems, cloud infrastructure, authentication providers, communication tools, payment processors, analytics tools, and other services. Margynx does not control third-party services and is not responsible for their availability, performance, changes, errors, security incidents, data practices, or terms. Your use of third-party services may be subject to separate terms and policies.
11. Confidentiality
Each party may receive non-public information from the other party that should reasonably be understood to be confidential. The receiving party will use confidential information only to perform or exercise rights under these Terms and will protect it using reasonable care. Confidentiality obligations do not apply to information that is publicly available, independently developed, rightfully received from another source, or required to be disclosed by law.
12. Intellectual property
Margynx and its licensors retain all rights, title, and interest in the Service, software, interfaces, workflows, documentation, analytics methods, models, designs, branding, templates, and related materials, excluding Customer Data. Subject to these Terms and any applicable payment obligations, Margynx grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during the applicable term.
13. Feedback
If you provide comments, ideas, suggestions, feature requests, or other feedback, Margynx may use them without restriction or obligation to you, provided that Margynx does not disclose your confidential information in a way not otherwise permitted by these Terms.
14. Publicity
Margynx will not identify you as a customer, or use your name, trading name, or logo in any customer list, website, presentation, case study, or marketing material, without your prior written consent. Nothing in these Terms grants Margynx the right to make any public reference to your use of the Service unless you have expressly agreed in writing on a case-by-case basis.
15. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, or error-free operation.
Margynx does not warrant that the Service will be uninterrupted, secure, timely, error-free, or compatible with every system or business process. Margynx does not warrant that the Service will prevent losses, identify every risk, correct every error, maintain any Amazon status, win or preserve the Buy Box, avoid account suspension, increase sales, protect margin, or achieve any business outcome.
16. Limitation of liability
To the maximum extent permitted by law, Margynx and its affiliates, personnel, contractors, licensors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; loss of profits, revenue, goodwill, customers, business opportunities, data, or use; business interruption; marketplace suspension; loss of Buy Box; pricing errors; inventory issues; advertising losses; or costs of substitute services, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Margynx's total aggregate liability arising out of or relating to the Service or these Terms will not exceed: (a) the amounts paid by you to Margynx for the Service during the one month immediately before the event giving rise to liability, subject to a maximum of one hundred U.S. dollars (US $100) in aggregate, if you are on a paid plan; or (b) zero, if you used the Service for free, under a trial, under a design partner arrangement, or otherwise without payment. By accessing the Service without payment, you acknowledge and agree that Margynx provides no-cost access without any liability or recourse of any kind.
The limitations in this section apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, and otherwise, to the extent permitted by law.
17. Indemnification
You will defend, indemnify, and hold harmless Margynx and its affiliates, personnel, contractors, licensors, and suppliers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Service; (b) Customer Data; (c) your Amazon Seller account, listings, pricing, advertising, inventory, fulfillment, taxes, or marketplace activity; (d) your violation of law, Amazon policies, third-party terms, or these Terms; (e) your configuration, approval, or use of pricing or automation features; or (f) any dispute between you and your customers, suppliers, service providers, marketplace platforms, or other third parties.
18. Suspension and termination
Margynx may suspend or terminate access to the Service, in whole or in part, if Margynx reasonably believes that: (a) you breached these Terms; (b) your use creates a security, legal, operational, or reputational risk; (c) you failed to pay amounts due; (d) required third-party access or authorization is unavailable; (e) continued access could violate law, Amazon policies, or third-party requirements; or (f) suspension is necessary to protect the Service, Margynx, users, or third parties.
You may stop using the Service at any time, subject to any payment or minimum-term obligations in an applicable order form or written agreement. Upon termination, your right to use the Service ends. Sections that by their nature should survive will survive, including confidentiality, payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, dispute terms, and general provisions.
19. Changes to the Service or Terms
Margynx may modify the Service from time to time, including adding, changing, or removing features. Margynx may update these Terms by posting an updated version on this page. The updated Terms will become effective when posted unless a later effective date is stated. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
20. Governing law and venue
These Terms are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-law rules. To the extent a dispute is not subject to arbitration or another written dispute process, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Delaware.
21. Notices
Margynx may provide notices through the Service, by email, or by posting on the website. You may send legal or support notices to contact@margynx.com, unless a separate written agreement specifies another notice method.
22. Miscellaneous
These Terms, together with any applicable order form, written agreement, and policies referenced in these Terms, are the entire agreement between you and Margynx regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without Margynx's prior written consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets. Margynx may assign these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or by operation of law. No waiver is effective unless in writing. Neither party is liable for delay or failure caused by events beyond its reasonable control.
